Initial public offer of 66,00,000 equity shares of face value of Rs. 10/- each ("Equity Shares") of Dove Soft Limited ("Company") for cash at a price of Rs. 110 per equity share (including a share premium of Rs. 100 per equity share) ("Offer Price") aggregating up to Rs. 72.60 Crores comprising a fresh issue of 53,28,000 equity shares of face value of Rs. 10/- each, for cash at a price of Rs. 110 per equity share (including a share premium of Rs. 100 per equity share) by the company aggregating up to Rs. 58.61 Crores (the "Fresh Issue") and an offer for sale 12,72,000 equity shares of face value of Rs. 10/- each, for cash at a price of Rs. 110 per equity share (including a share premium of Rs. 100 per equity share) aggregating up to Rs. 13.99 Crores, ("Offer for Sale") comprising of 6,36,000 equity shares aggregating to Rs. 7 Crores by Rahul Bhanushali, and comprising 6,36,000 equity shares aggregating Rs. 7 Crores by Sky Occean Infrastructure Limited (Together, the "Selling Shareholders", and such equity shares, the "Offered Shares") of which 3,30,000 equity shares of face value of Rs. 10/- each for cash at a price of Rs. 110 per equity share including a share premium of Rs. 100 per equity share aggregating to Rs. 3.63 Crores will be reserved for subscription by market maker to the offer (the "Market Maker Reservation Portion"). The offer less the market maker reservation portion i.e. Net offer of 62,70,000 equity shares of face value of Rs. 10/- each at a price of Rs. 110 per equity share aggregating to Rs. 68.97 Crores is herein after referred to as the "Net Offer". The offer and the net offer will constitute 27.06% and 25.71% respectively of the post offer paid up equity share capital of the company. Price Band: Rs. 110/- per equity share of face value Rs. 10/- each. The floor price is 11.00 times of the face value of the equity shares. Bids can be made for a minimum of 2400 equity shares and in multiples of 1200 equity shares thereafter.
