Shareholder approval sought for Non-Executive Director remuneration through financial year 2028-29

The Board is seeking shareholder approval for the remuneration of its Non-Executive Directors for a three-year period ending in financial year 2028-29, with proposed individual amounts of Rs 12,00,000 for Mr. Manmohan Kumar Sardana, and Rs 6,00,000 each for Mrs. Urvashi Saxena and Mr. Vijay Gulab Chand. The remuneration, considered in line with industry standards, is in addition to sitting fees, commission, and expense reimbursements. The company reported a loss in financial year 2025-26 primarily due to reduced turnover and expected credit loss provisions. To improve performance, the company is focusing on monetizing its extensive film library through syndication and enhancing business development and operations, with the aim of creating shareholder value. Executive Director & CEO, Mr. Pradeep Dwivedi, receives a remuneration of Rs 3,00,00,000.
