Max Estates to acquire nine land-owning firms in Delhi-NCR via share swap valued at Rs 4,202.31 crore

Max Estates Limited plans to acquire 100% ownership of nine land-owning companies in the Delhi-NCR region to expand its real estate development platform, with a potential for approximately 4-6 million square feet of development. The acquisition, valued at Rs 4.95 crore per acre of land, will be executed through a share swap, with Max Estates issuing 70,33,162 equity shares at Rs 597.50 each, totaling roughly Rs 4,202.31 crore. The sellers, including Non-Executive Chairman & Promoter Analjit Singh, Vice-Chairman & Managing Director Sahil Vachani, and related entities, are currently shareholders in the land-owning companies. The transaction, considered to be in the ordinary course of business and at arm’s length, is expected to be completed during FY27, pending shareholder approval at an Extraordinary General Meeting on September 24, 2026, and other regulatory approvals. Independent valuation reports from KPMG, Motilal Oswal, Cushman & Wakefield, and iVAS Partners support the deal.
