JHS SVENDGAARD RETAIL VENTURES LIMITED’s Board of Directors approved a waiver of interest and principal on existing debt during a meeting on August 29, 2026, alongside the allotment of 23,01,000 convertible warrants to seven investors, including Purnima Sharma, Sunny Bakshi, and Fresh Impact Labs Private Limited. The company received Rs 1,43,81,250 from the warrant subscription, representing 25% of the Rs 25 per warrant issue price. Warrant holders can convert their holdings into equity shares within 18 months at an exercise price of Rs 18.75 per warrant, resulting in a share price of Rs 25 upon conversion. The allotment, compliant with SEBI and Companies Act regulations, will dilute existing shareholders, with detailed post-conversion shareholding information provided in Annexure A.
